Terms of Service

Link Up Social Inc.

These terms are an agreement between you and Link Up Social Inc. ("Link Up", "we", "us"), a company incorporated in Ontario, Canada. They govern your use of the Link Up mobile app, the link-up.life website, and any plan pages we host (together, the "Service").

By creating an account, creating a plan, or responding to a plan, you agree to these terms. If you do not agree, do not use the Service.


1. What Link Up does

Link Up is a tool for organising social plans. One person creates a plan and shares it. Other people respond to say whether they are coming.

Link Up is a communication and coordination tool only. We do not organise events, we do not host them, we do not vet the people you invite or the places you go, and we do not verify anything anyone enters into a plan. Everything in a plan — the location, the time, the cost, the description — is written by a user, not by us.


2. Who can use it

You must be at least 16 years old to use Link Up. By using the Service you confirm that you are.

You are responsible for anything that happens under your account. Keep your sign-in credentials secure and tell us promptly at sebastien@link-up.life if you believe someone else has accessed your account.


3. Beta service

Link Up is currently in beta. This means:

  • The Service is provided for testing and may be incomplete, unstable, or contain errors
  • Features may change, be added, or be removed at any time without notice
  • The Service may be unavailable, and data may be lost
  • We may end the beta, or the Service entirely, at any time

Do not rely on Link Up for anything important. Do not use it as the only record of a plan you cannot afford to miss.


4. Your content

You keep ownership of everything you put into Link Up — plan titles, descriptions, place names, notes, and responses ("Your Content").

By putting content into the Service, you give us a non-exclusive, worldwide, royalty-free licence to store, copy, display, and transmit it, solely for the purpose of operating and improving the Service. This licence ends when you delete the content, subject to our retention periods and to copies held by other users who received it.

You are responsible for Your Content. You confirm that you have the right to share it and that it does not break the law or infringe anyone's rights.


5. Plans are shared

Anyone who has the link to a plan can see it and respond to it. Plan links are not secret. If you share a plan link publicly, or if someone you share it with forwards it, people you did not intend may see the plan and the names of everyone who has responded.

Do not put sensitive, confidential, or private information into a plan.


6. Acceptable use

You must not use Link Up to:

  • Break any law, or organise or promote anything illegal
  • Harass, threaten, bully, stalk, impersonate, or intimidate anyone
  • Send unsolicited messages, spam, or bulk invitations to people who have not agreed to receive them
  • Post content that is hateful, violent, sexually explicit, or that exploits or endangers anyone, particularly minors
  • Collect other users' information for any purpose other than organising the plan you are part of
  • Interfere with, overload, probe, or attempt to gain unauthorised access to the Service or its infrastructure
  • Reverse engineer, decompile, scrape, or copy any part of the Service
  • Use the Service to advertise or sell anything without our written permission

We may remove content and suspend or terminate accounts that break these rules, at our discretion and without notice.


7. Meeting people in the real world

This section matters. Please read it.

Link Up helps you plan to meet people in person. What happens when you meet is entirely between you and the people you meet. Link Up Social Inc. is not responsible for, and has no control over, the conduct of any user, the safety of any venue or activity, or anything that happens at or on the way to a meetup.

We do not conduct background checks on users. We do not inspect, endorse, or verify any venue, business, or activity mentioned in a plan.

You are responsible for your own safety and for exercising your own judgement about who you meet, where you go, and what you do. Take the same precautions you would take arranging anything else with people you know.


8. Third-party places and services

Plans often refer to venues, businesses, or events run by other people. We have no relationship with them unless we say otherwise, and we do not control their prices, availability, quality, opening hours, or conduct. Costs shown in a plan are estimates entered by a user and are not quotes or guarantees.

Any dealings you have with a third party are solely between you and them.


9. Notifications

If you enable notifications, we may send you push notifications, emails, or text messages relating to your plans. Standard message and data rates from your carrier may apply. You can turn notifications off at any time in the app or in your device settings, or by replying STOP to any text message.


10. Price

Link Up is free during the beta. If we introduce paid features in the future, we will tell you clearly before you are asked to pay for anything, and you will never be charged without agreeing first.


11. Deleting your account

You can delete your account at any time from within the Link Up app, or by emailing sebastien@link-up.life. Deleting your account removes your personal information as described in our Privacy Policy.

Plans you created may remain visible to other people who received them until those plans are deleted or expire.

We may suspend or terminate your account if you break these terms, if we are required to by law, or if we discontinue the Service.


12. Our intellectual property

The Link Up name, logo, app, website, and all software and design behind them belong to Link Up Social Inc. These terms do not give you any right to use them, except to use the Service as intended.


13. Disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any information in it is accurate or complete. Notifications may be delayed or fail to arrive. Data may be lost.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.


14. Limitation of liability

To the maximum extent permitted by law, Link Up Social Inc. and its directors, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or relating to your use of the Service — including any plan that did not happen, any notification that did not arrive, and anything that occurred at a meetup.

To the maximum extent permitted by law, our total liability to you for all claims relating to the Service is limited to the greater of the amount you have paid us in the twelve months before the claim, or CAD $100.

Nothing in these terms limits liability that cannot be limited by law.


15. Indemnity

You agree to indemnify and hold harmless Link Up Social Inc. from any claim, demand, loss, or expense (including reasonable legal fees) arising from Your Content, your use of the Service, your breach of these terms, or your violation of anyone's rights.


16. Changes to these terms

We may update these terms from time to time. The "last updated" date at the top reflects the current version. If we make a material change, we will notify account holders by email or in the app before it takes effect. Continuing to use the Service after a change means you accept the updated terms.


17. Governing law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict of laws rules.

You agree that any dispute arising out of or relating to these terms or the Service will be brought exclusively in the courts of the Province of Ontario, and you consent to the jurisdiction of those courts. Nothing here prevents you from bringing a claim in a small claims court, or from exercising any right you have under consumer protection legislation in your own jurisdiction.


18. General

If any part of these terms is found to be unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. You may not transfer your rights under these terms; we may transfer ours in connection with a merger, acquisition, or sale of assets.
